These Terms of Use (“Terms”) govern your access to and use of ecostrat.com (the “Site”), operated by Ecostrat Inc. (“Ecostrat,” “we,” “us,” or “our”). Please read these Terms carefully before using the Site.

1. Acceptance of terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree with any part of these Terms, please do not access or use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. Use of the site

You may use the Site for lawful purposes only. You agree not to misuse the Site, interfere with its normal operation, attempt to gain unauthorized access to any part of the Site or its systems, scrape or harvest data from the Site by automated means — including for the purpose of training, testing, or improving any artificial intelligence, machine learning model, or similar technology — submit false or misleading information through our forms, or use the Site in any way that could damage, disable, overburden, or impair it, or interfere with any other party’s use of it.

3. Ratings, reports & downloaded materials

The Site makes certain materials available for download, including BDO Zone Rating reports, playbooks, catalogues, and other documents (collectively, “Materials”). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Materials for your own internal, informational, and evaluation purposes. You may not sell, republish, or redistribute the Materials, remove any proprietary notices from them, or present them in a modified or misleading form. Where you provide your name and email to access a Material, you agree to provide accurate information.

4. No professional or investment advice

Content on the Site, including BDO Zone Ratings, rating opinions, self-assessment results, standards documentation, and related Materials, is provided for general informational purposes only. It does not constitute, and should not be relied on as, professional, financial, legal, tax, engineering, or investment advice, and it is not a recommendation to buy, sell, or hold any security or to make any investment or development decision. Ratings and assessments are opinions about feedstock, supply chain, and infrastructure risk as of the date they are issued; they are not guarantees of project performance, feedstock availability, or future outcomes. You should obtain your own independent professional advice before acting on anything you find on the Site.

5. Forms & submissions

When you submit information through the Site — for example, through our contact, application, download, or newsletter forms — you agree that the information is accurate and that we may use it to respond to you and as described in our Privacy Policy. Ideas, suggestions, or feedback you voluntarily send us may be used by us without restriction or obligation to you, except as stated in our Privacy Policy.

6. Intellectual property

The Site and its content, including text, graphics, logos, photos, videos, software, the BSCR Standards, BDO Zone materials, ratings, reports, and other materials, are owned by or licensed to Ecostrat and are protected by intellectual property laws. Ecostrat, BDO Zone, and related names, logos, and marks are trademarks of Ecostrat Inc. or its affiliates. Except for the limited license in Section 3, you may not reproduce, distribute, modify, publicly display, or create derivative works from any content on the Site without our prior written permission, except as expressly permitted by applicable law.

7. Third-party sites & services

The Site links to and integrates with third-party websites and services that we do not control, including our affiliated platforms (such as bdozone.org and ibraratings.org) and embedded form and analytics providers. We are not responsible for the content, policies, or practices of any third party. Your use of a third-party site or service is at your own risk and subject to that party’s own terms.

8. Disclaimers

The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any content is accurate, complete, or current.

9. Limitation of liability

To the fullest extent permitted by law, Ecostrat and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of (or inability to use) the Site or any Materials, whether based on contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Ecostrat and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Suspension & termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms or where necessary to protect the Site, Ecostrat, or others. Sections 3, 4, and 6 through 14 survive any termination.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, USA, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts located in the State of Michigan.

13. Changes to these terms

We may revise these Terms at any time. Updated Terms will be posted on this page with a revised “Last updated” date, and your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.

14. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Ecostrat regarding your use of the Site, and you may not assign them without our consent. Separate written agreements (for example, engagement letters or rating agreements) govern any services we provide beyond the Site and prevail over these Terms in the event of a conflict.

15. Reservation of right to modify or discontinue the Site

We reserve the right, at any time and without notice, to modify, suspend or discontinue all or any part of the Site or any Materials.
